Particular Terms of the Mediation Service provided by DonDominio for obtaining a TLS-SSL Security Certificate

Rev: 2-20180620
IMPORTANT NOTICE: The translated versions of the contracts and legal policies are provided solely as a convenience to facilitate reading and understanding of the Spanish versions. The objective of providing translations of contracts and legal policies is not to create a legally binding contract, and not be a substitute for the legal validity of the Spanish versions. In the event of any dispute or conflict, the Spanish versions of the contracts and legal policies will under all circumstance govern our relationship and prevail over the terms in any other language.

The purpose of this document is to define the Specific Contracting Conditions for the provision of the service for obtaining a TLS-SSL Security Certificate, which are considered a complement to the General Contracting Conditions published and in force at any given time on the website www.dondominio.com.

Both these Specific Conditions and the General Contracting Conditions will be understood to be expressly and jointly accepted when contracting the services offered on the SSL Certificates website. In case of any discrepancy between these conditions and the general conditions, the specific ones will take precedence.

The General and Specific Conditions, together with additional information on the technical and/or economic characteristics of the product or service contracted by the Client and the Personal Data Protection Policy published on DonDominio's website, constitute a unified agreement that binds the parties.

1. Identification of the parties to this agreement

  1. On the one hand, the entity SOLUCIONES CORPORATIVAS IP, S.L. (hereinafter identified by the trade name “DonDominio”), with N.I.F. number B57333601 and domiciled at C/ Menestrals, 14, Manacor-07500, Illes Balears, Spain, a Limited Liability Company constituted in Palma de Mallorca before Notary D. Víctor Alonso-Cuevillas Sayrol, registered in the Mercantile Registry of Baleares, Volume 2120, Folio 0, Book 173, Page PM-50105.
  2. On the other hand, the contracting party (hereinafter, “CLIENT”), a natural or legal person who fills out the contracting form available on DonDominio's website and who, in doing so, declares to know and freely accept, after being informed of the technical and economic characteristics of the service, the General Contracting Conditions and these Particular Conditions.
  3. These General Conditions can refer to a “party” or the “parties” to designate individually or jointly DonDominio or the Client.

2. Definitions

  1. Domain Name: a set of characters that through DNS identifies an address (IP) on the Internet. A particular server can have more than one Domain Name, but a particular Domain Name is only attributed to one server.
  2. IP (Internet Protocol): Protocol for communication in a network through packet switching.
  3. Security Certificate (Transport Layer Security TLS - Secure Sockets Layer, TLS/SSL): mechanism that allows a secure connection between the CLIENT and the server, establishing encrypted communication between them that only they, respectively, can decrypt. Information cannot be read or modified by third parties during exchange.
  4. Certification Authority: national or international, public or private authority or body, authorized to issue and manage Security Certificates (TLS/SSL).
  5. Hosting Plans: space on the servers owned by DonDominio, where the client's domain name and hosted content are located, administering the resources and applications of the plans offered by DonDominio.
  6. Control Panel: tool developed by DonDominio from where the Client manages the resources and applications available in the contracted Hosting Plan.
  7. Client Area: tool developed by DonDominio assigned to each CLIENT that allows them, among other actions, to contract and manage their products, check issued invoices, update billing information, access the control panel and submit authenticated requests, so each order triggers the necessary technical and administrative actions for the development of the required action.

3. OBJECT

  1. These Particular Conditions aim to regulate the conditions under which the CLIENT accesses the different types of Security Certificates (hereinafter, the “Certificates”) offered by DonDominio, their management by DonDominio, and the provision of mediation service between the Client and the Certification Entities or Certification Service Providers, as well as setting the conditions for their acquisition, renewal, and payment method of the CLIENT to DonDominio.
  2. These Specific Conditions, together with the General Contracting Conditions, both published at any given time on the Disclaimers and contracts website, form the contractual conditions governing the CLIENT's relationship with DonDominio, forming a unified agreement that binds the parties. In case of contradiction between these Specific Conditions and the General Conditions, what is established in the former will prevail.

4. Characteristics of the Security Certificates (TLS/SSL)

  1. The TLS/SSL Certificate is a certification system that certifies the authentication, confidentiality, and integrity of data transmitted over the Internet. It allows the CLIENT to contract the Certificate they wish for their domain and thus have a secure website where their users can exchange information without risk.
  2. The conditions outlined in these Conditions will apply to the TLS/SSL Certificates provided by the following trade names or brands and offered by DonDominio through its website: GeoTrust, Symantec, RapidSSL, Sectigo, Thawte
  3. Likewise, these Conditions will apply to any other type of TLS/SSL Certificate distributed by DonDominio to which these Conditions are attached even if not listed above.
  4. The technical characteristics of each type of TLS/SSL Certificate, as well as the price to be paid for them, are published at any given time on www.dondominio.com/es/products/ssl/ and included in these Conditions.
  5. The service contracted under these Conditions includes DonDominio's commitment to carry out the arrangements aimed at requesting the TLS/SSL Certificate, as well as its renewal.
  6. The CLIENT recognizes that it is DonDominio who shall request the TLS/SSL Certificate from the Certification Entities or Certification Service Providers, but granting of said TLS/SSL Certificate is the exclusive responsibility of these entities. Furthermore, the ultimate ownership and responsibility for the TLS/SSL Certificate fall on the certificate holder.
  7. The CLIENT must follow the instructions provided by DonDominio, who will request the necessary documentation according to the requirements of the Certification Authority corresponding to their type of TLS/SSL Certificate.
  8. DonDominio will provide this service as long as it is in charge of managing the TLS/SSL Certificate. The time frame for managing this action will depend on each Certification Entity or Certification Service Provider.
  9. DonDominio will notify the CLIENT of the granting of the TLS/SSL Certificate so that, if they are responsible for its installation, they carry out the corresponding actions. Once the TLS/SSL Certificate is granted, it can be downloaded and later installed on the server.
  10. DonDominio, at the CLIENT's request, will install the TLS/SSL Certificate when the CLIENT has contracted a shared hosting plan with DonDominio for the same domain.
  11. DonDominio will not assume any responsibility for delays caused exclusively by the CLIENT or the Certification Authority or Certification Service Provider in the use of the contracted TLS/SSL Certificate.
  12. Similarly, in cases where the CLIENT acts as administrator of their hosting service, they must be responsible for any consequences that may arise from their installation/uninstallation.
  13. Renewal or maintenance of TLS/SSL Certificates: Once the TLS/SSL Certificate is granted, the Client alone will be responsible for its renewal, with the prevailing price at that time published on Certifidados SSL.
  14. If any data of the TLS/SSL Certificate has changed, the CLIENT must manually request a renewal through their Client Area and provide the new supporting documentation required by the competent Certification Authority or Certification Service Provider.
  15. The CLIENT acknowledges that it is DonDominio's responsibility to renew or maintain the TLS/SSL Certificate with the competent organizations, but the effective renewal of said TLS/SSL Certificate is the exclusive responsibility of the Certification Authority or Certification Service Provider, and therefore DonDominio will not be responsible for renewals not carried out due to reasons attributable to these Certification Authorities or Certification Service Providers.
  16. Modification of the data of the TLS/SSL Certificate: it is an obligation of the TLS/SSL Certificate holder to keep their data updated at all times, which can be checked in their Control Panel. To this effect, in case of change, the CLIENT must request their update from the Client Area and follow the instructions given by DonDominio, who will request the necessary documentation according to the requirements of the Certification Entity corresponding to their type of TLS/SSL Certificate. In cases where, after more than 30 days have elapsed since contracting, the client wishes to request a reissuance of the certificate or add additional domains to it, they must faithfully follow the instructions or procedures indicated on the provider's website of the relevant certificate. If the client makes an error in activating or, as the case may be, canceling the requested modifications, it may result in the annulment or revocation of the contracted certificate and its deactivation. DonDominio is not responsible for any consequences and will not refund any amount derived from this circumstance.
  17. DonDominio will provide this service as long as it is in charge of managing the TLS/SSL Certificate. The time frame for managing this action will depend on each Certification Entity or Certification Service Provider.
  18. The CLIENT should be aware that depending on the TLS/SSL Certificate data that have varied, it may be necessary to issue a new TLS/SSL Certificate and annul the currently valid one, with the consequent payment of their corresponding fees. This can generally apply to the TLS/SSL Certificate holder and in the rest of the changes will depend on the type of TLS/SSL Certificate and the requirements of each Certification Entity or Certification Service Provider. DonDominio will inform the CLIENT of these matters in due course.
  19. The management and administration of the TLS/SSL Certificates will be carried out from their own Control Panel, which allows, among other functions, the following:
  20. View the data with which the Certificate was requested.
  21. The status of the Certificate at any time.
  22. Provide the documentation of the Certificate.
  23. By contracting, modifying, or renewing a TLS/SSL Certificate, the CLIENT and/or the holder of the domain name associated with it, consents directly and authorizes the collection, transfer to the competent Certification Entity or Certification Service Provider, processing and publication of the data related to the public information of the TLS/SSL Certificate, such as the associated domain, name of the holder, position he or she holds in the requesting organization, denomination of said organization, department, postal address, email address, phone number, fax, etc., both for themselves and for the corresponding administrative, technical, and payment contacts, as required by the competent Certification Authority or Certification Service Provider.
  24. The CLIENT should note that the data of the requested TLS/SSL Certificate must match, especially in the case of the holder, with those of the associated domain name. In case of discrepancy between these, the Certification Entity may not proceed with the granting or renewal of the TLS/SSL Certificate.
  25. In cases where the person of the TLS/SSL Certificate holder does not match the CLIENT, it will be the CLIENT’s obligation to obtain the holder's consent for the obligation, among others, referred to in the previous paragraph, being ultimately responsible for all consequences that non-compliance with this obligation may generate.
  26. The CLIENT acknowledges and accepts that the TLS/SSL Certificates offered by DonDominio function and have different characteristics, so it will not be possible to change from one type to another. In such a case, it must be processed as a cancellation of the current product and a new registration in the new product, being the CLIENT responsible for safeguarding and transferring the information stored in the corresponding products. However, the CLIENT may contract as many products as desired, from each type of TLS/SSL Certificate, offered by DonDominio.
  27. The CLIENT must comply at all times with the conditions established by the TLS/SSL Certificate’s Certification Entity, which can be consulted at: SSL Certificates.

5. Price, Billing and Payment Method

  1. For obtaining and renewing each TLS/SSL Certificate subject to these Conditions, the CLIENT must pay DonDominio in advance the corresponding price, according to the rates published at that time at Compare SSL Certificates. These amounts do not include Value Added Tax (VAT).
  2. These rates will be understood to be in force as long as the competent Certification Authorities or Certification Service Providers do not stipulate otherwise, in which case the CLIENT will be notified in advance as determined in these Conditions. Likewise, these rates may be subject to revision by DonDominio in accordance with what is established in the General Contracting Conditions.
  3. The minimum validity period for each TLS/SSL Certificate will be one year.
  4. Regardless of the initial request period of the TLS/SSL Certificate chosen by the CLIENT, renewals of the TLS/SSL Certificates can only be made for maximum periods of one year. The renewal of the TLS/SSL Certificate will be carried out with the payment of the next invoice, provided this is possible as the CLIENT has not modified the associated data, nor has it proceeded to cancel it through the forms provided in these Conditions.
  5. Payment method: The payment of the TLS/SSL Certificates, both in their first request and in their renewal, is a prepayment to be made by credit card, bank transfer, or any other means accepted, at any time, by DonDominio. With the selection of the first of these two options, the CLIENT consents and authorizes DonDominio to make the charges for the corresponding amounts, according to the payment method and the data of it indicated in the contracting form.
  6. At any time, the CLIENT may modify the payment method and/or associated data through their Client Area. DonDominio will not begin the arrangements for requesting or renewing the TLS/SSL Certificate until the CLIENT receives the amount of these services through any of the indicated payment methods.
  7. Guarantees and Right of Withdrawal. 7.1. The Client can withdraw from the contract within a term of fourteen (14) calendar days from its conclusion, without justification or penalty, in accordance with articles 102 and following of the TRLGDCU. For this purpose, the button available in the client area can be used during the entire term. DonDominio will send acknowledgment of receipt on a durable medium and will refund all amounts paid within a maximum of fourteen (14) days, by the same means of payment used.
7.2. Additionally and voluntarily, without prejudice to the right of withdrawal, the Client, may terminate the contract within twenty-five (25) calendar days following the initial contracting of the certificate.
7.3. Neither the withdrawal nor the satisfaction guarantee applies to renewals. If the Client decides to terminate the contract outside the term referred to in this section, they will lose the right to a refund for the voluntary and early termination of the Hosting Plan contracted.
  8. The CLIENT must pay the price for renewing the TLS/SSL Certificate sufficiently in advance of its expiration to facilitate and effectively process said maintenance (renewal) of the TLS/SSL Certificate so that it does not result in loss of the same. In any case, DonDominio does not guarantee the effective recovery of the TLS/SSL Certificate, therefore it is not responsible for the consequences that this fact may entail. If renewal proves impossible, DonDominio will refund the amount paid for it.
  9. DonDominio will notify the CLIENT and/or the holder of any modifications that the Certification Entities or Certification Service Providers may make regarding the characteristics and duration of these periods.
  10. As a result of the characteristics of the Security Certificates, the CLIENT will not be entitled to any refund for the voluntary and early cessation of the same, respecting DonDominio in all cases, what is established in the current regulations on consumers or end users.
  11. The CLIENT will be responsible for the payment of the TLS/SSL Certificates collected in these Conditions, as well as their renewal, even in the case of being different from the holder of the TLS/SSL Certificate. In the event of a conflict between these two figures, DonDominio will not take any action unless it previously receives the payment which is always prior to the start of the requested service execution.

6. ENTRY INTO FORCE

  1. The present Conditions will enter into force on the day of contracting the product, that is, at the moment the CLIENT makes the request for a TLS/SSL Certificate at DonDominio. The duration of these Conditions will correspond to the validity period for which each TLS/SSL Certificate is requested and will be tacitly extended for annual periods with the payment of the corresponding renewal invoice.
  2. DonDominio will perform maintenance and renewal procedures if once the expiration period for the renewal is notified to the CLIENT, they do not object to said procedures and pay the renewal costs in the advance mentioned by DonDominio.
  3. These Conditions will not be terminated as long as the CLIENT or one of the authorized users to whom the CLIENT has granted sufficient permissions, does not proceed to unsubscribe the contracted TLS/SSL Certificate from their CLIENT Area, or the period of validity ends without being renewed. The cancellation of the TLS/SSL Certificate will entail the deletion of all documents that the CLIENT has provided for its management.
  4. At each renewal, the text published on the website Disclaimers and contracts and which contains the most current version of these Conditions will always be understood to be in force.

7. OBLIGATIONS AND RESPONSIBILITIES OF THE PARTIES

  1. DonDominio acts as an authorized provider of TLS/SSL Certificates by the Certification Authorities or Certification Service Providers and will take the necessary steps to request, manage, and renew, as well as make the corresponding payments for the TLS/SSL Certificate chosen by the CLIENT and for which DonDominio is bound by these Conditions.
  2. DonDominio is not responsible for the TLS/SSL Certificate chosen, associated with a domain name, even if it is available at the time of entering into these Conditions, being effectively obtained.
  3. Nor will DonDominio be responsible for the renewal or maintenance of a TLS/SSL Certificate, even when all appropriate steps have been taken by DonDominio as established by the competent Certification Entities or Certification Service Providers, being effectively carried out.
  4. DonDominio will only be liable in those cases in which the request, renewal, or maintenance not carried out is due to a negligent action by DonDominio and sufficiently proven.
  5. Therefore, the CLIENT and/or holder of the TLS/SSL Certificate expressly waives claiming any contractual or extracontractual liability, damages against DonDominio, the Certification Entity, or the competent Certification Service Providers, for not obtaining or renewing the affected TLS/SSL Certificate, without prejudice to the exercise of the legal actions that may correspond to them before the competent body or provided for in the current legislation.
  6. If the non-obtention or non-renewal of the TLS/SSL Certificate occurs due to a negligent action by DonDominio, sufficiently proven, it will take the necessary steps to request another TLS/SSL Certificate that the affected holder wishes, or, at the CLIENT's request, the amount of money advanced to obtain this service will be returned, all without prejudice to the legal actions that may correspond.
  7. Neither DonDominio, nor the Competent Certification Entity or Certification Service Provider, are under any circumstances responsible for violations of intellectual or industrial property rights, or any other legitimate rights or interests that may arise from the TLS/SSL Certificate requested by the CLIENT.
  8. DonDominio is not responsible for what is exclusively attributable to the CLIENT and/or the holder, nor for what is attributable to the action of the Competent Certification Entity or Certification Service Provider, as well as the errors resulting from the process of its request.
  9. Neither DonDominio, nor the Competent Certification Authority or relevant Certification Service Provider will be liable for direct or indirect damages that may be caused by the CLIENT and/or holder breaching the regulations governing TLS/SSL Certificates.
  10. DonDominio and the Competent Certification Authority or relevant Certification Service Provider reserve the right to suspend or cancel the TLS/SSL Certificate of the CLIENT and/or holder in the event it is used contrary to the provisions of any applicable law or customary use policy of the Internet, or if the holder uses it for illegal activities.
  11. DonDominio and the Competent Certification Authority or relevant Certification Service Provider reserve the right to block, deny, cancel, or transfer any TLS/SSL Certificate whenever necessary in their judgment, among others: to comply with applicable legislation, with legal requirements and in compliance with any dispute resolution procedure, for breach of the terms and conditions of these Conditions, to avoid any civil or criminal liability on DonDominio, to protect the integrity and stability of DonDominio and the Competent Certification Authority or Certification Service Provider.
  12. DonDominio will not assume any responsibility for the content hosted by the CLIENT through a TLS/SSL Certificate, especially in those cases where it is contrary to Spanish laws or infringes the rights of third parties, fundamentally those regarding intellectual property, being this an exclusive responsibility of the CLIENT.
  13. In no case does DonDominio accept responsibilities derived from any error, omission, interruption, loss, deletion, defect, theft, destruction, unauthorized access, and/or alteration of stored content, business interruption, or any other damages caused by the operation of the TLS/SSL Certificates and/or for not meeting the CLIENT's expectations.
  14. By obtaining a TLS/SSL Certificate, the person appearing as the holder of it (whether or not the CLIENT) acquires only the right to use it during the period determined by the Competent Certification Authority or Certification Service Provider and assumes all obligations arising throughout these Conditions as well as the rules established by the corresponding Certification Authority or Certification Service Provider.
  15. The CLIENT assumes full and exclusive responsibility and risk that the request is in accordance with the regulations of the Competent Certification Authority or Certification Service Provider at each moment and for each case.
  16. The CLIENT and/or domain name holder must comply at all times with the requirements demanded by the Competent Certification Authority or Certification Service Provider and by DonDominio. By virtue of the foregoing, the domain name holder and the CLIENT subsidiarily assume solely the consequences arising from non-compliance with the mentioned requirements, when such non-compliance is attributable to them. Consequently, the CLIENT must inform the holder in case they do not coincide with the same person or entity.
  17. The CLIENT and/or holder guarantees to DonDominio that the chosen TLS/SSL Certificate is not requested for illegal purposes, nor does it infringe on the intellectual and industrial property rights or other legitimate rights and interests of third parties.
  18. The CLIENT and/or holder declares and guarantees that all information, including data provided for the TLS/SSL Certificate, supplied to DonDominio is complete and correct. Furthermore, they must immediately notify DonDominio of any modification of said information.
  19. The holder and/or CLIENT, in their case, authorizes and consents to DonDominio and the Competent Certification Authority or Certification Service Provider contacting the holder to verify that all existing data is correct. Also, the holder commits that in case the existing information is not truthful, they will proceed, as soon as possible, to update it, since intentionally providing incorrect information constitutes a material breach of these Conditions and will be the basis for the cancellation of the TLS/SSL Certificate.
  20. The holder and/or CLIENT undertakes to respond as soon as possible to any request from DonDominio and the Competent Certification Authority or Certification Service Provider regarding the updated data provided for obtaining the TLS/SSL Certificate. In case of non-compliance, DonDominio may cancel or deactivate the TLS/SSL Certificate.

8. Termination

  1. These Conditions will terminate when, in addition to the legally established causes and those stated in the different clauses of these Conditions, any of the following occur:
    1. Mutual Agreement of the parties.
    2. Termination of the initial duration period or successive extensions.
    3. Termination due to breach by one of the parties, even where the holder of the TLS/SSL Certificate is different from the CLIENT, of the obligations derived from these Conditions.
  2. DonDominio reserves the right not to make the renewal or maintenance of the TLS/SSL Certificate if the CLIENT has not made the corresponding payment within the timeframe set to ensure renewal.
  3. In case of termination or rescission of the Conditions, for the aforementioned causes or any others admitted in law, the CLIENT must fulfill the obligations assumed prior to the termination of these Conditions against DonDominio and against third parties.

9. Intellectual Property

  1. Regarding the licenses of the TLS/SSL Certificates, the CLIENT acknowledges their suppliers' ownership of all intellectual property rights that they may hold over them. The CLIENT must observe the terms of these licenses and will be responsible for their peaceful use. The CLIENT recognizes and accepts that the trademarks of these licenses are the property of their suppliers and can only be used under their authorization.

10. Personal Data Protection Policy

  1. Regarding the personal data that the Client provides to DonDominio for the Services' contracting, and inquiries or communications of any kind related to their management, the Personal Data Protection Policy published at the following link: Particular Terms of the Mediation Service provided by DonDominio for obtaining a TLS-SSL Security Certificate applies.

11. Express acceptance of these Conditions

  1. These Particular Conditions, the General Contracting Conditions, the technical information of the services published on DonDominio's website, and the Personal Data Protection Policy are inserted in the service contracting procedure selected by the CLIENT at DonDominio, whereby they expressly accept all its content when contracting services.
  2. Activating the button to submit the contracting request through DonDominio's website confers the condition of "CLIENT" and expresses the full and unreserved acceptance of the Contract Conditions of the requested Services in the version that DonDominio makes available electronically prior to activating the CONTRACT button.
  3. The latest version of the Contract Conditions for each service is found at the Disclaimers and contracts electronic address. Before contracting any of the Services offered, read the Contract Conditions that regulate the provision of the desired Service, including the technical, operational, and functional characteristics of the Service, as well as the applicable rates to be paid.
  4. This agreement is written in an English and Spanish version. In case of discrepancies, the Spanish version will prevail.
